Platform Provider Agreement
Effective Date: July 8, 2026
This Platform Provider Agreement ("Agreement") is effective as of July 8, 2026 ("Effective Date"), by and between DishNFold, accessed via dishnfold.com ("Platform"), and you, an independent, self-employed home service specialist operating as a sole proprietor or independent business entity ("Provider").
By checking "I accept" during provider registration or by logging into the Provider dashboard, you explicitly represent that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
1. Nature of Relationship (Referral Agency Exemption)
The Platform acts strictly as a neutral digital referral agency and technology matchmaking board. The Platform connects independent consumers (Members) with independent home service specialists (Providers). Provider explicitly acknowledges and agrees that: a) Provider is an independent contractor and a separate business entity, not an employee, agent, partner, or joint venturer of the Platform. b) The Platform does not direct, control, or supervise the Provider's performance, scheduling, methods, or pacing. c) Provider delivers services to the client under the Provider's own name or business name, not under the Platform's brand identity during performance. d) Provider retains absolute freedom to maintain their own independent clientele and may seek work through competing platforms or referral agencies at any time.
2. Operational Autonomy, Hours, and Rejections
Consistent with California law governing independent referral contractors: a) Provider sets their own hours and terms of work. Provider has no set schedule or mandatory shifts. b) Provider has the absolute right to accept or reject any individual client, booking, or gig ticket broadcast to the marketplace board without penalty. c) Provider is entirely free to negotiate rates, counter default pricing structures via the marketplace bidding mechanics, or choose to only accept tasks whose flat pre-loaded wallet credit values align with the Provider's own independent profit calculations.
3. Tools, Equipment, and Supplies
Provider is solely responsible for purchasing, maintaining, and providing all tools, materials, and supplies necessary to perform the requested home services. This includes, but is not limited to, mops, buckets, cleaning rags, counter wipes, and specialized solutions. The Platform will never supply, distribute, or specify physical cleaning equipment or products to the Provider.
4. Service Boundaries
Provider agrees that the scope of work accepted on this marketplace is strictly bounded by the specific endpoints selected by the client during matching: (1) Residential laundry folding and organizing, (2) Residential kitchen dish resetting, (3) Kitchen counter wiping, and (4) Refrigerator interior wipe-downs and expiration sorting. Dishwashing Service — What's Included: a) Dishes & Cutlery: Washing, loading the dishwasher, and hand-washing standard basin items. b) Immediate Sink Counters: A basic surface wipe-down of the immediate countertops surrounding the sink area to clean up soap and water residue. c) Food Scraping: Scraping plate waste into the trash or disposal unit. d) Emptying the Dry Cycle: The specialist is fully authorized to open kitchen cabinets, shelves, and silverware drawers for the sole purpose of unloading clean, dry dishes from the dishwasher or drying rack to make room for the current load. e) Leftover Management Rule: The specialist will happily box up remaining food only if the empty containers and matching lids are left out on the counter next to the food. Specialists are strictly instructed not to search through cabinets, pantries, or Tupperware drawers to locate storage containers for leftovers. If no boxes are left on the counter, food waste will be discarded. Dishwashing Service — What's Strictly Excluded: a) No Floor Cleaning: Specialists do not sweep, mop, vacuum, or clean kitchen flooring under any circumstances. b) No Appliance or Deep Cleaning: Excludes cleaning inside ovens, microwaves, refrigerators, or scrubbing grout. c) No Cabinet Searching: Specialists will not search through cabinets, pantries, or Tupperware drawers to locate storage containers for leftovers — food is only boxed if containers and lids are left out on the counter. Provider shall not perform heavy adhoc manual labor or general maid services outside these specific digital task parameters.
5. Payment and Platform Fees
The Platform collects upfront subscription floats or add-on single-session fees from clients as a billing agent. Upon the Provider's verified completion of a matched gig, the Platform distributes the agreed-upon task payout directly to the Provider's connected Stripe account. The Platform retains a digital matchmaking fee from the transaction. Provider is responsible for all local, state, and federal self-employment taxes, and the Platform will issue an IRS Form 1099-NEC annually as required.
6. Anti-Poaching and Disintermediation
Provider acknowledges that the Platform invests substantial capital to acquire and retain local clients. Provider explicitly agrees that all bookings, communication, and financial transactions with clients initially introduced via the Platform must be processed exclusively through the Platform's billing interface. Provider is strictly prohibited from soliciting, poaching, or executing off-platform cash agreements with clients introduced via the digital marketplace. Violation of this section results in immediate platform banishment and liability for lost platform matchmaking revenue.
7. Damage Reporting and Photo Proof Protocol
To maintain high trust on the board and satisfy liability parameters, Provider agrees to follow the Platform's digital check-out checklist, which includes uploading timestamped "before and after" photo proof of completed tasks. If a client asserts a claim for property damage or bodily injury resulting from a gig, Provider agrees to cooperate fully with fact-finding procedures and acknowledges that the Platform's $1M infrastructure liability insurance parameters require clear documentation to evaluate third-party claims.
8. Governing Law and Arbitration
This Agreement shall be governed by and construed in accordance with the laws of the State of California. Any controversy, claim, or dispute arising out of or relating to this Agreement that cannot be settled through direct negotiation shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) in California. Both parties explicitly waive their right to a jury trial or to participate in any class, collective, or representative legal action.
9. Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
